Darrell Lea Online Reseller Channel Policy

At Darrell Lea, we are committed to delivering the highest quality DARRELL LEA® products and ensuring consumers have a consistent brand experience across all sales channels. To help protect our brand, safeguard our consumers, and support our authorized distribution partners, Darrell Lea maintains the following Channel Policy. - Scope and Applicability
This policy applies to all distributors, wholesalers, retailers, and resellers of Darrell Lea products in the United States. We refer to them all as “resellers” for simplicity in this policy. It specifically governs the sale of our products through third-party e-commerce platforms (including, without limitation, Amazon®, Walmart®, eBay®), as well as other unauthorized online or digital resale channels. We reserve rights to limit unauthorized physical sales, too.
- Authorized Resellers
- Only resellers that have received prior written approval from Darrell Lea in each instance may list or sell Darrell Lea products on third-party e-commerce platforms.
- Authorized resellers must comply with all Darrell Lea brand, quality, and pricing guidelines, and must purchase directly from Darrell Lea or through an authorized distributor. Any prior authorization is revocable for failure to comply with the foregoing.
- Unauthorized Resellers
Resellers who list Darrell Lea products online without prior authorization are considered unauthorized sellers. Unauthorized sellers may be subject to enforcement actions, including but not limited to:
- Takedown requests to e-commerce platforms using brand/IP protection programs.
- Suspension of supply through distributors or wholesalers.
- Revocation of reseller rights.
- Legal remedies available under intellectual property, unfair competition and other applicable laws.
- Documentation Requirements
Darrell Lea reserves the right to request, at any time, documentation from any reseller to verify product authenticity and supply chain integrity, including:
- Purchase invoices and proof of sourcing.
- Date codes, batch numbers, and product age.
- Compliance certifications and handling records.
Resellers must provide complete documentation within 5 business days of request. Failure to respond or provide adequate documentation may result in enforcement actions.
- Transition and Sell-Through Period
If this policy affects existing resellers who previously listed Darrell Lea products without authorization, a 30-day sell-through period will be allowed for existing inventory. After this period, all unauthorized listings must be removed.
- Monitoring and Enforcement
- Darrell Lea may monitor online and offline sales channels for unauthorized or non-compliant listings. This policy is not intended to be a limiting statement of our legal rights in any manner. We reserve all rights to take legal action against unauthorized resellers in any sales channel, including, without limitation, as indicated in Section 3 above.

This policy is designed to help:
- Ensure consumers receive authentic, high-quality products.
- Prevent the sale of counterfeit, improperly sourced, mislabeled, misbranded, or expired goods, or goods that do not represent the high quality and brand standards of Darrell Lea products.
- Protect Darrell Lea’s brand reputation and maintain trust with our consumers and retail partners.
